DRAFT FOR LAWYER REVIEW. NOT FINAL LEGAL TEXT. Draft 2 of 2026-10-14. This page describes in plain language what the Regelife Design Engine does and the rules we propose. It has not been reviewed by a lawyer, may change before the private preview opens, and must not be relied on. Items in [LAWYER: ...] brackets need a lawyer; items in [DECISION: ...] brackets are undecided business choices. Nothing here claims compliance with any law. The version users accept is recorded with the date (setting TERMS_VERSION; currently draft-0).
1. Who we are and what the service is
The Design Engine (HydroBase) is a web tool of Regelife Inc. ("Regelife", "we", "us"). [DECISION: T01. Exact legal name, state of incorporation and postal address of the company offering the service. The site footer says "Regelife Inc.", Boulder, Colorado.] It is a research assistant for people designing cell-culture hydrogels and synthetic extracellular matrices. You describe your cells and goals in a chat; it asks questions and suggests design parameters drawn from a database of published studies, with links to the evidence it used.
The Design Engine is a private preview. Places are limited, you join a waitlist, and Regelife decides who is admitted. [LAWYER: T15. Private preview wording: seats are limited (50) and Regelife chooses who is admitted; the service may change, be interrupted or end; no uptime promise.]
2. Research use only. Not medical advice.
The Design Engine is for research and laboratory design use only. It is not a medical device. It does not diagnose, treat or give medical, clinical or regulatory advice, and its output must not be used to make decisions about the care of a patient or for any product intended for use in people without proper independent validation.
Suggestions come from a database of published papers and from a language model. Both can be incomplete, outdated or wrong, and a language model can state errors with confidence. You are responsible for checking every suggestion against the original papers and for validating any design in your own experiments before relying on it. Results in the literature may not hold for your cells, materials or conditions. [LAWYER: T03. Wording of the research-use-only and not-medical-advice disclaimer, the warranty disclaimer and the limit of liability. The text here is a plain-language draft, not a reviewed disclaimer.]
3. Your account
You sign in with an email address (which you must verify) or a Google account. You must give accurate information, keep your sign-in secure, and not share your account. The service is for people aged 18 or over, using it for research or professional purposes. [LAWYER: T02. Who may use the service: professionals and researchers aged 18 or over, acting for themselves or their institution. Decide whether consumers are excluded and what happens when a person signs up for an employer.] You can delete your account at any time from the account page (see section 12).
4. Acceptable use
You agree not to:
- break the law, or use the service for any purpose that harms people, including designing materials intended to cause harm;
- enter patient-identifiable information, personal health information, or other people's personal data. The Design Engine does not need it;
- enter anything you do not have the right to share, or that you are bound to keep confidential;
- try to get around usage limits, the sign-in or the admission process, scrape the service, or run automated or bulk requests;
- probe, attack or overload the service, or try to extract the underlying database, system instructions or model;
- resell or provide the service to others, or copy its database or output in bulk to build a competing product;
- try to make the service give advice it is designed not to give (it declines some requests on purpose).
We may suspend or remove an account, or refuse admission, if we believe these rules are broken or the service is at risk. [LAWYER: T14. Acceptable use list, including the ban on entering patient-identifiable or other personal health information, and the right to suspend or remove an account.]
5. What you type, and what we may do with it
Conversations are stored. Your messages, the assistant's replies, the design parameters extracted from your conversation, the studies it recommended, and any feedback you give are stored, so that you can reopen past chats and so that we can run and improve the service. They are stored under a random identifier kept separate from your name and email (the Privacy Policy explains how). You can delete any chat from the history panel.
Ownership and licence. You keep your rights in what you type. You give Regelife a limited licence to store, process and display it to you, and to send it to the model provider, only to operate and secure the service. [LAWYER: T12. Your content and our licence: you keep your rights in what you type; we may process it to run the service (a limited licence); a separate, optional, revocable permission covers improving the service. Confirm the licence scope, how to handle unpublished or confidential research a user types, and whether we should promise confidentiality.]
Optional: improving the service. When you accept the Terms you are also asked a separate, optional question: may Regelife use your conversations, in de-identified form, to improve the product and its models. Saying no changes nothing about your access. You can change your answer at any time on the account page. What this permission covers, and what switching it off does and does not do, is explained in the Privacy Policy, section 5. If you switch it off, conversations already stored stop being used from then on.
Feedback. If you send feedback or suggestions (the thumbs and comments in the chat count), we may use them freely to improve the service without owing you anything.
Outputs. You may use the suggestions for your own research. We give no warranty about them, and we do not promise they are free of anyone's rights. The database behind them is Regelife's and its sources'. [LAWYER: T13. Ownership of and rights in the outputs (recommendations, suggested parameters). Draft says the user may use outputs for research but gets no warranty, and the underlying database belongs to Regelife and its sources.]
6. Subscription and automatic renewal (DRAFT wording, to be reviewed)
[LAWYER: T04. The whole subscription and automatic renewal section is DRAFT wording. Confirm it meets the renewal, trial-conversion, disclosure and consent-capture rules that apply to the customers we expect (United States including California, and Japan). We do not claim any of it is compliant.]
- Price. The Design Engine costs $20 per month (US dollars). [DECISION: T08. Price, currency and whether it includes tax. Draft says $20 per month in US dollars; Stripe Tax is planned before the first real charge (about February 2027).]
- Free period. With a single-use invitation code from us the first 3 months (90 days) are free. You still enter a payment card and billing details at checkout. You are not charged during the free period.
- Automatic renewal. When the free period ends the subscription renews automatically and the card you provided is charged $20 each month, until you cancel. [DECISION: T05. Mark to decide: bill automatically after the free period (what this draft says and what is built) or pause until the user confirms. Only automatic is implemented.]
- Payments. Payments are processed by Stripe. Regelife does not see or store your card number; we keep only Stripe's customer and subscription identifiers and the subscription status.
- How to cancel. Sign in, open the account page and choose Manage subscription, then cancel: two clicks, with no email, call or form needed. Stripe's portal also lets you update your card and see invoices. We send you a confirmation email after every cancellation.
- What cancelling does. If you cancel during the free period you are not charged and keep access until the free period ends. If you cancel after billing has started you keep access until the end of the month you have paid for. [LAWYER: T06. Cancellation promise: two clicks from the account page, no email, call or form; free-period cancellers are never charged; cancelled paid users keep access to the end of the paid month. Confirm the promise is acceptable to make in a contract and matches how Stripe actually behaves.]
- Reminders. We email you when you subscribe (plan, price, date billing starts, how to cancel), and again 14 days and 3 days before billing starts. [LAWYER: T07. Reminder promise: an email 14 days and 3 days before the first charge, and a confirmation email at checkout. Confirm whether the Terms should promise this, given a reminder cannot be sent if the trial starts less than 14 days before its end or if email delivery fails.]
- Failed payments. If a payment fails we email you and Stripe may retry. Access may be limited if the subscription lapses.
- Refunds. [DECISION: T10. Refund policy (none, pro-rata, case by case). Not decided; Stripe can refund from its dashboard.]
- Price changes. [LAWYER: T09. Notice period and consent rules for changing the price or the plan.]
The same renewal sentence appears next to the pay button on the subscribe page and on Stripe's checkout page. These figures and this wording are placeholders for the private preview and are not final.
7. Usage limits
To keep the service fair and to control cost we limit how many messages each person can send per minute and per day, and how many the service handles in total per day. When a limit is reached the chat tells you when you can continue. Limits may change. [LAWYER: T11. Whether usage limits are stated with numbers. Draft says limits exist and may change. Defaults today: 100 messages per user per day, 10 per minute, 2000 across all users per day (the last returns "temporarily at capacity").]
8. Changes to the service, suspension and ending
We may change, pause or end the service or any feature, and the preview may end. We aim to keep the service available but do not promise it will always be, or that it will be free of errors. You may stop using it and delete your account at any time. We may end or suspend access for the reasons in section 4, or if the preview ends. [LAWYER: T19. Effect of ending the account: what we delete and what survives (billing records Stripe must keep, backups until they expire).]
9. Intellectual property
The Design Engine, its software, prompts, database and design belong to Regelife or its licensors. We give you a personal, non-transferable right to use the service under these Terms. Published papers referenced by the service belong to their authors and publishers; the service links to or names them, and you should obtain them from the publisher.
10. Disclaimers and limits of liability
The service is provided "as is" and "as available". To the extent the law allows, Regelife does not promise that it is accurate, complete, fit for any purpose, or uninterrupted, and is not liable for lost experiments, materials, time, profits or data, or for indirect or consequential loss, arising from your use of it. [LAWYER: T03. Wording of the research-use-only and not-medical-advice disclaimer, the warranty disclaimer and the limit of liability. The text here is a plain-language draft, not a reviewed disclaimer.]
11. Using the service from other countries
The service is operated from the United States. You are responsible for following the laws that apply to you where you use it, including any rules on export, research and the handling of biological materials. [LAWYER: T16. International use, export-control and local-law disclaimers. No location limit is built; users in the United States and Asia are expected.]
12. Your data
How we handle personal data is described in the Privacy Policy, which forms part of these Terms. From the account page you can see what we hold, download it, switch off the improvement permission, and delete your account and conversations.
13. Changes to these Terms
When we publish a new version of these Terms or the Privacy Policy it gets a new version number. The first time you sign in after a change you must read and accept the new version before you can continue. The account page shows which version you accepted and when. [LAWYER: T18. How changes to these Terms are announced and how acceptance is re-collected. Draft says: each published version has a version number and everyone must accept a new version before continuing.]
14. Governing law, disputes and contact
[LAWYER: T17. Indemnity, dispute resolution (courts or arbitration), class-action waiver, governing law and venue. Left blank on purpose.]
Questions about these Terms: mark@regelife.bio. [DECISION: T20. Contact address for legal notices and support. The footer uses mark@regelife.bio; decide whether that stays or a role address is created.]
